Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you") and PnLPulse ("we", "us", "the Company"). By creating an account, accessing, or using PnLPulse in any way you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to any part of these Terms, you must not create an account or use PnLPulse.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use PnLPulse. By creating an account you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are using PnLPulse on behalf of an entity, you represent that you are authorised to bind that entity.

3. Nature of the service — important disclaimer

Any analytics, observations, diagnoses, rules, plans, strategy suggestions, or AI-generated commentary provided by PnLPulse are based solely on your historical trade data and are presented for educational and informational purposes only. They must not be construed as recommendations to take, or refrain from taking, any particular trading or investment action.

Past performance is not indicative of future results. Trading in financial instruments involves significant risk of loss. You acknowledge that you are solely responsible for your own trading and investment decisions and that PnLPulse bears no responsibility for those decisions or their outcomes.

4. Account registration and security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at contact@pnlpulse.ai if you become aware of any unauthorised use.

We reserve the right to suspend or terminate any account at our sole discretion, including but not limited to accounts involved in fraudulent activity, abuse, or violation of these Terms.

5. User responsibilities and acceptable use

You agree that you will not:

• Use PnLPulse for any unlawful purpose or in violation of any applicable law, regulation, or sanctions regime.
• Upload, import, or transmit data that infringes the intellectual property rights or privacy rights of any third party.
• Attempt to access, tamper with, or use non-public areas of the service, our systems, or other users' data.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of PnLPulse.
• Use automated scripts, bots, or crawlers to access the service except through our published APIs.
• Resell, sublicence, or redistribute access to PnLPulse without our prior written consent.
• Misrepresent PnLPulse's output as professional financial advice, or present it to third parties as such.

You are solely responsible for the accuracy and legality of all data you import into PnLPulse, including trade histories and account information.

6. Subscriptions, billing, and refunds

PnLPulse offers a free Starter plan and a paid Pro plan. Pro subscriptions are billed on a recurring monthly or annual basis through our payment processor, Stripe. Prices are displayed at the point of purchase and may vary by region.

By subscribing to Pro, you authorise us to charge the payment method you provide at the intervals you select until you cancel. Renewals occur automatically. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you will retain Pro access until that date.

All fees are non-refundable except where required by applicable law. We do not provide refunds for partial billing periods, unused features, or account downgrades. If you believe a charge is in error, please contact contact@pnlpulse.ai within 14 days.

We reserve the right to change pricing at any time. Existing subscribers will be given at least 30 days' notice of any price increase before it affects their next renewal.

7. Your data and licence grant

You retain full ownership of the trading data you import into PnLPulse. By using the service, you grant PnLPulse a limited, non-exclusive, royalty-free licence to process, store, and analyse your data solely for the purpose of providing and improving the service for you. This licence terminates when you delete your data or account.

Your individual trading data is not shared with other users and is not used to train AI models for other users. We may use aggregated, anonymised, and de-identified data for product improvement and research.

8. Intellectual property

All rights, title, and interest in and to PnLPulse — including but not limited to its software, algorithms, analytics models, design, trade marks, logos, and documentation — are and remain the exclusive property of the Company. These Terms do not grant you any right to use our trade marks or branding without prior written consent.

You may not copy, modify, create derivative works of, distribute, sell, lease, or sublicence any part of the service or its content.

9. Third-party services and integrations

PnLPulse integrates with third-party platforms (e.g., MetaTrader 5, cTrader) and services (e.g., Stripe for payments, Supabase for data storage). We are not responsible for the availability, accuracy, or conduct of any third-party service. Your use of such services is subject to their respective terms and policies. PnLPulse is not affiliated with, endorsed by, or sponsored by MetaQuotes, Spotware, or any broker.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Without limiting the foregoing, we do not warrant the accuracy, completeness, or reliability of any analytics, diagnoses, or suggestions generated by PnLPulse. All outputs are approximations based on the data you provide and may contain errors.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PNLPULSE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, MISSED TRADING OPPORTUNITIES, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF PNLPULSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO PNLPULSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless PnLPulse and its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of a third party; or (d) any trading or investment decisions you make.

13. Termination

You may close your account at any time by contacting contact@pnlpulse.ai. We may suspend or terminate your access immediately, without prior notice or liability, for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the service ceases immediately. We may delete your data in accordance with our Privacy Policy. Sections 3, 7, 8, 10, 11, 12, 15, and 16 survive termination.

14. Changes to these terms

We may modify these Terms at any time. When we make material changes, we will notify you by email or prominent in-app notice at least 30 days before the revised Terms take effect. Your continued use of the service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using PnLPulse and close your account.

15. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms limits your rights under mandatory consumer protection laws in your jurisdiction.

16. General provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PnLPulse with respect to the service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, war, government action, internet outages, or third-party service failures.
